US Court Dismisses Criminal Charges Against Gautam Adani and Sagar Adani; SEC Case Settled
The US District Court for the Eastern District of New York has dismissed with prejudice the criminal charges against Adani Group Chairman Gautam Adani, Sagar Adani and former Adani Green Energy CEO Vneet Jaain. The development brings the criminal proceedings to an end, while a separate civil matter involving the US Securities and Exchange Commission (SEC) has been resolved through a final judgment.
US Court Dismisses Adani Criminal Case
The US Department of Justice had sought dismissal of the indictment, which included allegations relating to securities fraud conspiracy, wire fraud conspiracy and securities fraud. The court granted the request under Rule 48(a).
The case originated in November 2024, when US prosecutors alleged that Gautam Adani, Sagar Adani and others were involved in a conspiracy involving alleged bribes linked to Indian solar power contracts. The Adani Group had consistently denied the allegations and maintained that it had complied with applicable laws.
The Justice Department cited jurisdictional and evidentiary challenges, the predominantly Indian nature of the alleged conduct and other public-interest considerations while seeking dismissal.
Since the case was dismissed with prejudice, the criminal charges cannot be refiled. However, the dismissal does not constitute a judicial finding on the underlying allegations.
Separate SEC Civil Matter Resolved
Separately, the SEC civil proceeding involving Gautam Adani and Sagar Adani has been resolved through a final judgment entered on consent on August 10, 2026.
Under the judgment, Gautam Adani will pay a USD 6 million civil penalty, while Sagar Adani will pay USD 12 million. Both have also been permanently restrained from violating specified provisions of US securities laws.
The judgment was entered with their consent without admitting or denying the allegations made by the SEC.
Impact on Adani Green Energy Shares
Following the development, Adani Green Energy shares traded slightly lower, falling around 0.22% to ₹1,366, while the Nifty 50 also remained under pressure.
Adani Green Energy clarified that the company itself is not a party to the SEC proceeding and no charges have been brought against the company. The company also stated that there is no material adverse impact on its financial, operational or other activities.
